My answer is D.

According to the qn,
k = 3^a.7^b

we know total number of factors = 6 = 3*2
Also we know that for any number n = x^a.y^b
total factors of n = (a+1)*(b+1)

from statement 1 we get a = 2, so b has to be 1. Sufficient
from statement 2 we get b is not 2, so b is 1 and a is 2. Sufficient
